These Terms of Service (“Terms”) govern your access to and use of the Feline Consulting website and services (“Services”). By using our website or engaging us, you agree to these Terms.
1) Who we are
Feline Consulting provides accounting and operational finance support services for founder-led businesses. Our work focuses on repeatable close processes, decision-grade reporting, and practical controls that fit real business operations.
We do not provide audit, attestation, legal, or investment advisory services.
2) Eligibility and authority
By using our Services, you confirm that:
- You are at least 18 years old, and
- You represent that you are authorized to grant access to financial systems and data necessary for the Services.
If you engage us on behalf of a company, these Terms apply to that company.
3) Engagement structure and scope
All Services are explicitly scoped.
- Scope, deliverables, timelines, assumptions, and fees are confirmed in writing (proposal, statement of work, or written summary).
- We do not offer “unlimited” services.
- Work outside the agreed scope requires written approval and may be quoted separately.
Unless expressly stated in writing, Services do not include:
- Audits, reviews, or attest services
- Tax filing or legal advice
- Fraud detection or forensic investigations
4) Client responsibilities
You agree to:
- Provide timely access to systems, statements, documents, and approvals.
- Ensure you have the right to share any data provided to us.
- Review deliverables within a reasonable timeframe and raise questions promptly.
- Our Services support decision-making but do not replace management oversight or internal controls.
Delays or inaccuracies in information may impact timelines and outputs.
5) Fees, billing, and payments
- Fees and billing terms are defined in the engagement document (monthly, project, or annual).
- Invoices are due according to the agreed payment terms.
- Late or unpaid invoices may result in paused work.
- Fees are non-refundable except where required by law.
- Taxes, third-party software fees, and pass-through costs may apply depending on scope.
- We may revise fees upon scope changes or material increases in volume or complexity, with notice
6) Communications and records
To support efficiency and auditability, we may communicate via email, shared documents, or support platforms. We maintain a working paper trail appropriate to the engagement.
7) Use of third-party platforms
You may authorize us to access third-party platforms (for example, accounting software, banks, payroll systems, payment processors).
- We are not responsible for outages, errors, delays, or changes caused by third-party platforms.
- Your use of third-party services is governed by their own terms and privacy policies.
- Authorization may be revoked by the client, subject to the impact on service delivery.
8) AI-assisted tools
We may use AI-assisted tools to support administrative and analytical tasks such as drafting explanations, summarizing notes, mapping categories, or quality checks.
- AI is supportive, not a substitute for professional judgment.
- Outputs are reviewed by humans before delivery.
- We limit data shared with AI tools where feasible.
- AI outputs may contain errors; final responsibility remains with human review.
9) Confidentiality
We treat client information as confidential and use it only for the engagement, except where:
- Disclosure is required by law, or
- You authorize sharing (for example, with your tax advisor, lender, or auditor).
10) Intellectual property
- You retain ownership of your data and records.
- We retain ownership of our templates, methodologies, checklists, and processes.
- You receive a non-exclusive license to use deliverables for your internal business purposes.
11) Professional limitations
We rely on information you provide. If inputs are incomplete or inaccurate, outputs may be affected.
Our role is to design and maintain reliable accounting systems and reporting rhythms — not to guarantee business outcomes.
12) Disclaimers
Services are provided “as is” and “as available,” to the extent permitted by law. We do not guarantee uninterrupted access to third-party platforms or that every issue will be identified immediately.
13) Limitation of liability
To the maximum extent permitted by law:
- Feline Consulting is not liable for indirect, incidental, special, consequential, or punitive damages.
- Our total liability for claims arising from the Services is limited to the fees paid for the Services in the period specified in the engagement document (or, if not specified, a reasonable cap aligned to fees paid).
14) Indemnification
You agree to indemnify and hold Feline Consulting harmless from claims arising from:
- Misuse of the Services,
- Violation of law, or
- Infringement of third-party rights,
except to the extent caused by our gross negligence or willful misconduct.
15) Term and termination
- Either party may terminate an engagement according to the engagement document.
- Fees incurred prior to termination remain payable.
- Upon termination, we will provide a reasonable handoff of work product as agreed, subject to outstanding balances.
16) Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Before initiating any formal legal proceeding, both parties agree to first attempt to resolve any dispute arising out of or relating to these Terms or the Services through good-faith discussions. If the dispute cannot be resolved informally, the parties may agree to pursue mediation prior to litigation.
Unless otherwise specified in a written engagement document, any legal action or proceeding shall be brought exclusively in the state or federal courts located in the State of Wyoming, and the parties consent to the personal jurisdiction and venue of such courts.
17) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date reflects the current version. Continued use of the Services constitutes acceptance of the updated Terms.
